Who we are

Ceodore is a trading name of Echo Thirteen Capital Ltd, a company registered in England and Wales at 128 City Road, London EC1V 2NX. In these terms, "we" and "us" mean that company, and "you" means the business or person using Ceodore.

What Ceodore is, and what it is not

Ceodore is software. It records transactions, produces reports, generates payment requests and helps you run the administration of a business.

Ceodore is not a bank, a payment institution, an e-money issuer, a custodian, an exchange or a trading venue. We do not hold your money. We do not hold your private keys. We are not a party to any payment made between you and anyone else, and we are not a counterparty to any transaction you enter into.

We do not provide financial, investment, tax or legal advice. The reports Ceodore produces are prepared from the data available to it and are your records, not our opinion. You remain responsible for what you file and what you claim.

Your wallet and your keys

Where Ceodore helps you create a wallet, the keys are generated on your own device and encrypted there. They are never transmitted to us and we never hold them, in any form, at any time.

This means we cannot recover your wallet if you lose access to it. Not with difficulty, and not for a fee. There is no support route that ends in your funds coming back. That is the necessary consequence of nobody else being able to reach them either.

Before a wallet created in Ceodore can receive funds, we require you to set up at least two ways back into it. You are responsible for keeping those safe. We publish an offline recovery tool so that you can reach your funds without us, and we recommend you verify it works before relying on it.

Payments are final

A payment made on a public blockchain cannot be reversed once it has settled. Neither you nor we nor anyone else can undo it. Check the amount and the recipient before you approve anything.

Where you issue a refund, that is a new payment you choose to make, not a reversal of the original.

Your account

You must be acting for a business, and you must be entitled to act for the organisation you set up. You are responsible for the people you invite and for what they do with the access you give them.

Keep your sign-in credentials to yourself. Tell us promptly if you think someone has access who should not.

Paying us

Subscriptions are billed monthly or annually in advance, in pounds sterling, excluding VAT. Prices are shown on our pricing page and we will give you notice before changing them.

We take no fee from your transactions. We take no percentage of your sales. If that ever changes, it will not change quietly.

If you stop paying, your account becomes read-only. We will not delete your records without telling you first and giving you a reasonable opportunity to export them.

Your data is yours

You can export everything, in full, at any time, without asking us. We do not sell your data, share it with advertisers, or use it to train machine learning models.

How we handle personal data is set out in our privacy policy, and the data processing agreement covers our role where you are the controller.

Acceptable use

Do not use Ceodore to commit a crime, to launder money, to evade sanctions, or to disguise the origin of funds. Do not attempt to break, probe or overload the service, and do not resell access to it without our agreement.

We may suspend an account where we reasonably believe this clause has been broken, and we will tell you why unless we are prevented from doing so.

Availability

We will take reasonable care to keep Ceodore running and available, but we do not promise it will be uninterrupted or error-free. We rely on third parties including blockchain networks, hosting providers and payment partners, and those can fail independently of us.

Because we are never in the payment flow, an outage of Ceodore does not stop you being paid. Your wallet keeps working without us.

Liability

Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for loss of profit, loss of business, or indirect or consequential loss, and our total liability in any twelve-month period is limited to the amount you paid us in that period.

We are not liable for losses arising from the loss of your keys or recovery methods, from a payment you approved, or from the failure or behaviour of a blockchain network.

Ending it

You can cancel at any time, with effect from the end of your current billing period. We can end an agreement on reasonable notice, or immediately where the acceptable use clause has been broken.

On termination you keep the ability to export your data for a reasonable period, and your wallet and funds are unaffected because they were never ours to affect.

Changes, and the law that applies

We may change these terms. Where a change matters, we will tell you in advance rather than updating the page quietly.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
